Internal Vacancy - Company Secretarial Officer Reporting to: Company Secretary
Job Purpose:
To provide professional advice on good governance practice and enforce statutory compliance in its widest form within the NedNamibia Holdings (NNH) Group.
Key Responsibilities:
- Build professional relationships by attending to requests from stakeholders and management.
- Ensure to provide quality by gathering and analyzing information before delivery.
- Facilitate speedy resolution by collating and compiling reports to facilitate problem solving.
- Identify and recommend opportunities to enhance processes; systems and policies and support implementation of new processes; policies and systems.
- Ensure decisions are properly recorded by preparing and drafting minutes of meetings.
- Ensure compliance with statutes by checking all statutory documentation.
- Resolve issues pertaining to statutory documentation by liaising with Directors; Public Officers and external Auditors.
- Deregister dormant companies from various business clusters by liaising with the relevant stakeholders and regulatory bodies.
- Ensure all companies comply with FICA by submitting certified copies of statutory documentation to officers of the company.
- Ensure to maintain tax compliance by advising In-land Revenue of changes in year-end and change of public officers.
- Contribute to the preparation of the Board Pack by liaising with the relevant parties.
- Ensure compliance with the Companies Act by updating records into minute book.
- Ensure that all stakeholders are aware of their deliverables and items requiring action by developing an action table with the minutes.
- Ensure compliance with regulations by providing guidance and interpretation.
- Improve departmental performance by knowledge sharing with team members.
- Keep abreast of legislation and other industry changes that impacts on role by reading the relevant newsletters; websites and attending sessions.
- Ensure personal growth and enable effectiveness in performance of roles and responsibilities by ensuring all learning activities are completed; experience practiced, and certifications obtained and/or maintained within specified time frames.
- Ensure information is provided correctly to stakeholders by maintaining knowledge sharing knowledge with team.
